The terms governing your access to and use of the XAutoCare platform and all associated services.

Welcome to XAutoCare. These Terms of Service ("Terms") govern your access to and use of the XAutoCare platform, including all associated services, websites, applications, APIs, software, and tools (collectively referred to as the "Services").

By accessing or using the Services, you agree to be bound by these Terms. If you do not agree with these Terms, you must not use the Services.

1. Definitions

For purposes of these Terms:

"XAutoCare", "we", "us", or "our"
refers to the XAutoCare platform and its operators.
"User", "Customer", or "you"
refers to any individual or organization that accesses or uses the Services.
"Platform"
refers to the XAutoCare software platform and infrastructure.
"Account"
refers to the registered user profile used to access the Services.
"Content"
refers to any data, text, images, inventory listings, compatibility information, or other materials submitted to the platform.
"Marketplace"
refers to any functionality that allows suppliers, installers, fleet operators, or buyers to interact, list products, or conduct transactions.
"API"
refers to application programming interfaces provided by XAutoCare.

2. Eligibility

To use the Services, you must:

  • be at least 18 years of age
  • have the legal capacity to enter into binding agreements
  • not be prohibited from using the Services under applicable law

If you use the Services on behalf of a company or organization, you represent that you have authority to bind that entity to these Terms.

3. Account Registration

To access certain features, users must create an account. Users agree to:

  • maintain updated account information
  • protect login credentials
  • notify us immediately of unauthorized account access

Users are responsible for all activities occurring under their account.

XAutoCare is not liable for losses resulting from unauthorized access caused by failure to maintain account security.

4. Description of Services

XAutoCare provides software tools designed for the automotive ecosystem. The Services may include:

  • inventory management systems
  • parts compatibility intelligence
  • supplier catalog management
  • automotive marketplace infrastructure
  • installer network coordination
  • fleet maintenance management
  • analytics and reporting dashboards
  • API integrations
  • compatibility data processing
  • workflow automation tools

We may modify, update, or discontinue features at any time.

5. Acceptable Use

Users agree to use the Services only for lawful purposes. Users must not:

  • violate any applicable law or regulation
  • upload malicious software or viruses
  • attempt to gain unauthorized system access
  • reverse engineer platform components
  • exploit vulnerabilities
  • interfere with system performance
  • use the platform to distribute spam or fraudulent content
  • misuse APIs or scrape data without authorization
  • impersonate other users or organizations
  • upload harmful or illegal materials

Violation of these rules may result in account suspension or termination.

6. User Content

Users may upload or submit content to the platform, including:

  • parts catalogs
  • inventory data
  • compatibility information
  • product listings
  • pricing details
  • operational data

Users retain ownership of their content.

However, by submitting content, users grant XAutoCare a worldwide, non-exclusive license to host, store, process, display, analyze, and transmit such content for the purpose of operating the platform.

Users are responsible for ensuring they have rights to the content they upload.

7. Marketplace Interactions

Certain Services may enable interactions between suppliers, buyers, installers, fleet operators, and automotive businesses. XAutoCare provides the platform infrastructure but does not control individual transactions between users. We are not responsible for:

  • product quality
  • delivery of goods
  • service fulfillment
  • transaction disputes

Users are responsible for evaluating and engaging with other parties.

8. Fees and Payments

Certain Services may require payment. Pricing may include:

  • subscription fees
  • usage-based fees
  • API usage fees
  • marketplace transaction fees
  • enterprise licensing fees

Users agree to pay all applicable charges. Payment terms may include monthly subscriptions, annual billing, or prepaid usage.

Failure to pay fees may result in service suspension.

9. Refund Policy

Unless otherwise specified in a separate agreement:

  • payments are non-refundable
  • subscriptions may renew automatically
  • cancellation applies to future billing cycles

Custom enterprise agreements may contain separate refund terms.

10. API Usage

XAutoCare may provide APIs for platform integration. Users must:

  • respect rate limits
  • not abuse API access
  • maintain secure authentication practices

We may revoke API access if misuse is detected.

11. Intellectual Property

All platform technology belongs to XAutoCare. This includes:

  • platform architecture
  • algorithms
  • machine learning models
  • compatibility databases
  • trademarks
  • logos
  • user interfaces

Users may not copy, distribute, or create derivative works from the platform.

12. Feedback

Users may provide feedback or suggestions.

By submitting feedback, users grant XAutoCare the right to use such feedback without restriction or compensation.

13. Data Protection

XAutoCare processes data in accordance with its Privacy Policy.

Users are responsible for ensuring their use of the platform complies with applicable privacy laws.

14. Security

We implement reasonable security measures. However, users acknowledge that no system is completely secure and internet transmissions may involve risks.

Users must maintain appropriate internal security practices.

15. Service Availability

We aim to maintain high availability but do not guarantee uninterrupted service. Services may be temporarily unavailable due to:

  • upgrades
  • technical failures
  • network disruptions
  • external provider outages

16. Third-Party Integrations

The platform may integrate with third-party services, including:

  • authentication providers

XAutoCare is not responsible for the actions or policies of third-party services.

17. Beta Features

Certain features may be offered as beta or experimental features. These may:

  • contain bugs
  • change frequently
  • lack full support

Beta features are provided "as-is."

18. Suspension and Termination

We may suspend or terminate accounts if users:

  • violate these Terms
  • misuse the platform
  • fail to pay fees
  • create security risks
  • engage in illegal activities

Users may also terminate their account at any time.

19. Data Retention After Termination

After account termination:

  • access to the platform will end
  • data may be retained for a limited period
  • some records may be kept for legal compliance

Users should export data before termination.

20. Disclaimers

The Services are provided "as-is" and "as-available." We do not guarantee:

  • error-free operation
  • uninterrupted service
  • complete accuracy of compatibility data
  • success of marketplace transactions

Users assume responsibility for decisions made using platform data.

21. Limitation of Liability

To the maximum extent permitted by law, XAutoCare is not liable for:

  • indirect damages
  • lost profits
  • lost data
  • business interruption
  • consequential damages

Total liability shall not exceed the amount paid by the user to XAutoCare during the previous 12 months.

22. Indemnification

Users agree to indemnify and hold harmless XAutoCare from claims resulting from:

  • violation of these Terms
  • misuse of the platform
  • intellectual property infringement
  • unlawful activities

23. Force Majeure

We are not liable for delays caused by events beyond our control, including:

  • infrastructure failures

25. Dispute Resolution

Before filing legal claims, users agree to attempt to resolve disputes through good-faith negotiations. Further dispute resolution mechanisms may include:

26. Changes to Terms

We may update these Terms periodically.

If material changes occur, users will be notified. Continued use of the Services after updates constitutes acceptance of the revised Terms.

27. Export Compliance

Users agree to comply with applicable export control laws and regulations.

The platform may not be used in jurisdictions where such use is prohibited.

28. Assignment

Users may not transfer their rights under these Terms without written permission.

XAutoCare may assign these Terms in connection with mergers or corporate restructuring.

29. Entire Agreement

These Terms, together with the Privacy Policy and any separate agreements, constitute the entire agreement between users and XAutoCare.
